GOV-CON SOLUTIONS, INC. END-USER LICENSE AGREEMENT

IMPORTANT: PLEASE READ BEFORE USING THE SOFTWARE

This Gov-Con Solutions End-User License Agreement (“EULA”) is a legal agreement between you, the user, and Gov-Con Solutions, Inc. for the computer software, printed materials, and any “online” or electronic documentation (“SOFTWARE”). By installing, copying, or otherwise using the SOFTWARE, you agree to be bound by the terms of this EULA. If you do not agree to be bound by the terms of this EULA, promptly return the unused SOFTWARE for a full refund.

The parties mutually agree to the following terms and conditions, as consideration: Gov-Con shall provide products in accordance with the attached Product Description and Delivery Dates. Product delivery will be in accordance with the attached delivery schedule.

The SOFTWARE is Licensed, Not Sold.

Software Product License

The SOFTWARE is protected by copyright laws, as well as other intellectual property laws.

1. Grant of License

This EULA grants you the following rights:

  • Software. You may install and use the SOFTWARE on your computer and may install it on your outside accountant’s computer for use solely on your behalf. If you install this SOFTWARE on your accountant’s computer, you must advise your accountant that his use of the SOFTWARE is limited to your work only and that he may not use or transfer it to others. Upon completion of the work, the accountant must delete the SOFTWARE from his computer.

2. Description of Other Rights and Limitations

  • You agree not to reverse engineer the SOFTWARE.
  • You agree not to rent, lease, give, or sell the SOFTWARE to others.
  • Without prejudice to any other rights, Gov-Con Solutions may terminate this EULA if you fail to comply with its terms and conditions. In such event, you must destroy all copies of the SOFTWARE.

3. Copyright

All title and copyrights in and to the SOFTWARE, including but not limited to any images, photographs, animations, video, audio, music, and text incorporated into the SOFTWARE, the accompanying printed materials, and any copies of the SOFTWARE, are owned by Gov-Con Solutions. The SOFTWARE is protected by copyright laws and international treaties. You must treat the SOFTWARE like any other copyrighted material.

Limited Warranty

Gov-Con Solutions warrants that the SOFTWARE will perform substantially in accordance with the accompanying written materials for a period of six months from the date of receipt. This Limited Warranty gives you specific legal rights. You may have others, which may vary from state to state.

Customer Remedies

Gov-Con Solutions’ entire liability and your exclusive remedy with respect to the SOFTWARE shall be, at Gov-Con Solutions’ option, either a refund of the price paid for the SOFTWARE or replacement of the SOFTWARE that does not meet the Limited Warranty and is returned to Gov-Con Solutions, 12303 Airport Way, Suite 200, Broomfield, CO 80021, with a copy of your receipt. This Limited Warranty is void if failure has resulted from accident, abuse, or misapplication.

No Other Warranties

To the maximum extent permitted by applicable law, Gov-Con Solutions disclaims all other warranties and conditions, either express or implied, including but not limited to implied warranties and conditions of merchantability and fitness for a particular purpose. Some states do not allow limitations on the duration of an implied warranty, so the above limitations may not apply to you.

In any case, Gov-Con Solutions’ entire liability under any provision of this Agreement shall be limited to the amount paid by you for the SOFTWARE.

No Liability for Consequential Damages

To the maximum extent permitted by law, in no event shall Gov-Con Solutions be liable for any special, incidental, indirect, or consequential damages whatsoever, including without limitation damages for loss of business profits, business interruption, loss of business information, or any other pecuniary loss arising out of the use of or inability to use the SOFTWARE, even if Gov-Con Solutions has been advised of the possibility of such damages. Because some states do not allow the exclusion or limitation of liability for consequential or incidental damages, the above limitation may not apply to you.

Governing Law

This EULA is governed by the laws of the State of Colorado.
